Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and Techbase Solutions Ltd, the company behind Invoute ("Invoute", "we", "us"), governing your use of our website and applications (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please don't use the Service.
Who can use Invoute
You must be at least 18 years old and able to form a binding contract to use the Service. Invoute is built for business use - by freelancers, tradespeople, studios and small teams - to manage their own quoting, invoicing and payment records. If you use Invoute on behalf of a business, you confirm you are authorised to accept these Terms for it.
Your account
You are responsible for the information you provide, for keeping your login credentials secure, and for all activity that happens under your account. Tell us promptly at support@invoute.com if you suspect any unauthorised use. Keep your account details accurate and up to date so the Service - and the documents you send - work as intended.
Plans, billing & invoice packs
Invoute offers a free plan and paid options. Quotations are always free and unlimited on every plan.
FreeUnlimited quotes and up to 15 invoices per calendar month, at no cost. The monthly invoice allowance resets at the start of each month and does not roll over.
ProA subscription (currently $9.99/month or $99/year) that adds reports, expense tracking, recurring invoices, email send & PDF export, multi-user access, and lifts the monthly invoice limit. Subscriptions renew automatically until cancelled.
Invoice packsPrepaid credits that let you send invoices beyond the free monthly allowance without a subscription. Credits are drawn only after your 15 free invoices each month, and do not expire.
Pay as you goPer-invoice pricing (currently $0.25 per invoice) for sending beyond the free allowance without buying a pack.
Prices are shown in US dollars and may change; we'll give notice of changes that affect an active subscription. Payments are handled by our payment provider. Except where required by law, subscription fees and prepaid credits are non-refundable. You can cancel a subscription at any time; cancellation takes effect at the end of the current billing period, and you keep Pro features until then.
Your content & your responsibility
You retain all rights to the content you create and the data you enter - your quotes, invoices, services, prices and customer details ("Your Content"). You grant us a limited licence to host, process and transmit Your Content solely to provide the Service to you.
You are solely responsible for Your Content, including that it is accurate, lawful, and that you have the right to enter any customer details you add. You are responsible for the correctness of the amounts, tax and terms on the documents you send, and for meeting your own invoicing, tax and record-keeping obligations.
Not a payment processor or professional adviser
Invoute is software for creating documents and recording payments. We are not a bank, money-services business or payment processor: we do not take, hold, move or settle your customers' payments. When you mark an invoice as paid, you are recording a payment that happened elsewhere.
Invoute does not provide accounting, tax, legal or financial advice, and nothing in the Service is a substitute for a qualified professional. Calculations and templates are provided to help, but you are responsible for verifying them against your own circumstances and local rules.
Acceptable use
When using Invoute, you agree not to:
- Break the law, infringe others' rights, or send fraudulent, misleading or deceptive documents;
- Use the Service to issue invoices for goods or services you have not provided, or to harass or defraud anyone;
- Upload malware, attempt to breach security, or disrupt or overload the Service;
- Reverse-engineer, scrape, resell or copy the Service except as the law allows; or
- Misuse delivery channels - for example, sending unsolicited bulk messages over WhatsApp.
We may suspend or limit accounts that breach these rules to protect the Service and other users.
Third-party services
The Service works with third parties - such as WhatsApp for delivery and our payment provider for billing. Your use of those services is subject to their own terms and privacy policies, and we are not responsible for them. If a third-party service changes or becomes unavailable, some features may be affected.
Intellectual property
The Service, including its software, design, branding and content (excluding Your Content), belongs to Invoute and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in line with these Terms. Your own brand assets - your logo and colours - remain yours; you grant us permission to apply them to the documents you create.
Termination
You may stop using the Service and close your account at any time from your settings. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service, with reasonable notice where practicable. Before closing your account, export any documents you need to keep. On termination, your right to use the Service ends; sections that by their nature should survive - such as content ownership, disclaimers and limits of liability - will continue to apply.
Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement. You use the Service at your own discretion and risk.
Limitation of liability
To the fullest extent permitted by law, Invoute and its team will not be liable for any indirect, incidental, special or consequential damages, or for lost profits, revenue, data or goodwill, arising from your use of - or inability to use - the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim, or USD 100. Some jurisdictions don't allow certain limits, so some of these may not apply to you.
Changes to the Service & these Terms
We're actively building Invoute, so features may be added, changed or removed. We may also update these Terms from time to time. When changes are material, we'll update the "Last updated" date and, where appropriate, notify you in the app or by email. Continuing to use the Service after a change takes effect means you accept the updated Terms.
Governing law
These Terms are governed by the laws of Barbados, and the courts of Barbados will have jurisdiction over any dispute, without regard to conflict-of-laws rules. Nothing in these Terms affects any statutory rights you have as a consumer that cannot be waived.
